Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website intechsolid.com and the software provided by Intechsolid Sdn Bhd (Registration No. 202501003090 (1604503-X)), including IntechCXM, Online Ordering, and custom-built systems (together, the "Services"), operated by Intechsolid Sdn Bhd ("Intechsolid", "we", "us", "our"), a company registered in Malaysia at 7-1, Jalan Pusat Perniagaan Desa Kolej 1, Nilai 71800, Negeri Sembilan, Malaysia. By accessing our website or using our Services, you agree to these Terms.

1. The Services

IntechCXM is an AI-assisted customer experience platform that helps businesses ("Clients") manage customer conversations across messaging channels, including Facebook Messenger, Instagram, and WhatsApp (operated by Meta Platforms, Inc.), and may integrate with Google and TikTok services. Online Ordering and custom development engagements are scoped individually with each Client. We may modify, suspend, or discontinue any part of the Services at any time, with reasonable notice to active Clients where practicable.

2. Eligibility & accounts

You must be authorized to act on behalf of the business you represent to create a Client account or submit a consult request. You are responsible for the accuracy of information you provide and for keeping your account credentials confidential. You are responsible for all activity that occurs under your account.

3. Client responsibilities

  • Clients must have the right to connect the Facebook Pages, Instagram accounts, WhatsApp Business numbers, Google listings, or TikTok accounts they link to IntechCXM, and must comply with each platform's own terms (including Meta's Platform Terms and Developer Policies, Google's terms, and TikTok's terms).
  • Clients are responsible for the content of messages, automated replies, and AI-assistant configurations sent to their end customers, and for obtaining any consents required under applicable law (including Malaysia's Personal Data Protection Act 2010) to process their end customers' data.
  • Clients must not use the Services to send spam, unsolicited marketing in violation of platform policies, or unlawful, abusive, or deceptive content.

4. Acceptable use

You agree not to: reverse-engineer or attempt to extract the source code of our software except as permitted by law; interfere with or disrupt the integrity or performance of the Services; attempt to gain unauthorized access to any account, system, or network connected to the Services; or use the Services in violation of any applicable law or third-party platform policy.

5. Third-party platforms

Our integrations with Meta (Facebook, Messenger, Instagram, WhatsApp), Google, and TikTok depend on those platforms' APIs and policies, which may change at any time and are outside our control. We are not responsible for outages, policy changes, or feature removals on those platforms that affect the Services. Your use of any connected platform remains subject to that platform's own terms.

6. Fees

Our Services are offered on a consult-based, scoped-to-your-business pricing model. Fees, billing frequency, and scope are agreed with each Client individually before engagement and set out in a separate proposal or agreement, which forms part of these Terms for that Client.

7. Intellectual property

Intechsolid retains all rights, title, and interest in the Services, including our software, branding, and documentation. Clients retain ownership of their own business data and content submitted through the Services. We do not claim ownership of Client data.

8. Confidentiality

Each party agrees to use the other's confidential information only for the purposes of the engagement and to protect it with reasonable care, consistent with our Privacy Policy.

9. Disclaimers & limitation of liability

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Intechsolid disclaims all warranties, express or implied, and shall not be liable for indirect, incidental, or consequential damages arising from use of the Services, including outages or changes caused by third-party platforms (Meta, Google, TikTok). Our total liability for any claim arising from the Services is limited to the fees paid by the affected Client in the three months preceding the claim.

10. Termination

Either party may terminate an engagement as set out in the applicable proposal or agreement. We may suspend or terminate access to the Services if these Terms are breached, or if required to comply with a third-party platform's policies (e.g. Meta, Google, TikTok enforcement action). Upon termination, we will handle data deletion in line with our Privacy Policy.

11. Governing law

These Terms are governed by the laws of Malaysia, and any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of our website or Services after changes take effect constitutes acceptance of the revised Terms.
